Douglas Matsumori

Mr. Matsumori graduated from Harvard Law School in 1976 and immediately accepted a position as a judicial clerk to the Honorable Aldon J. Anderson of the U.S. Federal District Court for the District of Utah. He practiced briefly with the firm of Van Cott, Bagley, Cornwall & McCarthy, specializing in a variety of commercial and business transactions, health care licensure, regulation and certificate of need law. He views himself as a general commercial, financing, real estate and business lawyer focusing on a wide variety of business transactions, contracts and issues.
He started practice with Ray Quinney & Nebeker in 1979 immediately becoming involved in commercial, business, finance and credit transactions, mortgage and real estate finance documentation and foreclosure, collection and workout efforts. He has represented a wide variety of companies and institutions, both in their capacity as lenders and borrowers in both secured and unsecured credit and financing transactions and has had several years of experience as bond counsel in connection with industrial revenue and similar conduit tax-exempt financing. He has extensive experience in equipment leasing transactions. He has also served as an expert witness in lender liability litigation cases.
His practice has broadened and evolved to include extensive experience in real estate and business enterprise sales and acquisitions, business acquisition and merger transactions, real estate development, planning, zoning and subdivision work, including representation before municipalities and planning and zoning boards and commissions. His credit and finance experience has also included loan and credit syndication and participation, asset securitization and credit enhancement. His client base has now evolved to include general business representation of a restaurant chain owner and franchisee/franchisor, a nursing home developer/operator, an emerging drug delivery technology company and computer/internet technology companies. Mr. Matsumori has continued to maintain representation of health care and health care industry clients and has been active in state licensure and regulation law, mergers, acquisitions and financing for health care industry clients. He has also gained extensive experience in the representation of a national truck dealership, including extensive work in business restructuring, adjunct insurance, financing and service businesses and in connection with both manufacturer relationships and dealer flooring arrangements.
Mr. Matsumori's problem-solving and negotiation expertise is broad-based and extensive and he is involved in alternate dispute resolution efforts, being one of the original members of the ADR panel for the Utah U.S. District Court's experimental and now ongoing successful ADR efforts. He also provides strategic and tactical assistance, consultation and back-up in various litigation matters that deal with his areas of expertise, experience and substantive law areas, also using his clerkship-sourced familiarity with the litigation process and the judicial decision-making process to provide valuable analytical, tactical and strategic input for the Firm's litigation teams.
He is a former member of the Firm's executive committee and is now Chair of the Firm's Real Estate Section.
Mr. Matsumori has been selected by his peers for inclusion in the list of The Best Lawyers in America in Real Estate Law. He also maintains an AV Preeminent (5.0) rating from Martindale-Hubbell, which is the highest rating awarded to attorneys for professional competence and ethics and has been voted by his peers throughout the state as one of Utah’s “Legal Elite” in the category of Real Estate (as published in Utah Business Magazine). He has also been selected for inclusion in Mountain States Super Lawyers in the area of Real Estate.
